ASC Holdings, American Skiing Company Announce Initial Public Offering.


NEWRY, Maine--(BUSINESS WIRE)--Aug. 13, 1997--ASC Holdings Inc., parent company of the American Skiing Company American Skiing Company was one of the largest operators of alpine ski, snowboard and golf resorts in the United States. Its resorts included Sunday River and Sugarloaf/USA in Maine and The Canyons in Utah. , announced today that it has filed a registration statement with the Securities and Exchange Commission with respect to its proposed inital public offering of $250 million of common stock.

Underwriters for the offering will be Donaldson Lufkin & Jenrette Securities Corp., Furman Selz, Morgan Stanley Dean Witter, and Schroder & Co. Inc. The offering is expected to be completed in October.

Proceeds of the offering will be used to fund the company's acquisition of the Steamboat Ski Resort The Steamboat Ski Resort is a ski area operated by the Steamboat Ski & Resort Corporation in Steamboat Springs, Colorado. It is located in Routt National Forest on Mount Werner, a mountain in the Park Range.

The ski area has 165 named trails spread over 2965 acres.
 in Steamboat Springs, Colo., and the Heavenly Ski Resort Heavenly Mountain Resort is a ski resort located on the California-Nevada border in South Lake Tahoe ( 38°56'7.40"N, 119°56'24.29"W). It has 95 runs and 30 lifts that are spread between California and Nevada and four base facilities. The resort was purchased by Vail Resorts, Inc.  near Lake Tahoe on the California/Nevada border, and to repay certain indebtedness.

A registration statement relating to these securities has been filed with the Securities and Exchange Commission but has not yet become effective.
