ARVIN FORMS EUROPE'S LARGEST INDEPENDENT REPLACEMENT EXHAUST AND EMISSION CONTROL COMPANY

 COLUMBUS, Ind., July 29 /PRNewswire/ -- Arvin Industries, Inc. (NYSE: ARV) jointly announced with Sogefi, S.p.A., located in Mantova, Italy, today an agreement to establish a 50/50 joint venture involving their respective European independent replacement exhaust businesses: Arvin's Timax Exhaust Systems Division, the UK's market leader, and Sogefi's Etablissements Rosi S.A., based in France, and Ansa Marmitte S.p.A., based in Italy. The new joint venture company will be headquartered in Nanterre near Paris.
 Arvin believes the joint venture company will be the leading supplier to the European independent replacement market. This move is consistent with Arvin's strategy to be the number one or two supplier in the markets served. This action follows recent transactions in the OE/OES market in pursuit of the company's leading supplier strategy. In 1990 Arvin acquired a French OE exhaust supplier, since renamed Cheswick France, and in 1992 the company entered into a joint venture with the German-based OE company Schmitz and Brill.
 Arvin will provide technical assistance to the new venture, supplemented by Sogefi's marketing management. Byron O. Pond, Arvin president and CEO, expressed Arvin's excitement over the new venture: "The leadership position of Timax, Rosi and Ansa in their home markets will allow the collective companies to provide the European independent replacement market with one of the most complete product offerings available. In addition, the export strength of Rosi and Ansa will create Pan-European opportunities for Timax products that would not otherwise be available." Pond further stated, "Ansa and Rosi product lines and management personnel are first rate. We are proud to be on the same team."
 James W. Thomas, currently president of Arvin's U.S. Maremont Exhaust Products division, has been selected to be managing director of the new company. His first priority will be to consolidate the product lines and market positions of the three businesses in order to offer existing and new customers a high quality full-line product range supported with exceptional customer service.
 Thomas comes to his new assignment after having successfully managed the harmonization and consolidation of the replacement exhaust businesses of Maremont and Arvin in the U.S. and Canada during the past several years. His experience with Maremont includes key roles in sales, marketing, and distribution.
 The terms of the joint venture were not disclosed.
