APEX DATA COMPLETES MERGER WITH COZUMEL FUNDING; PCMCIA Mobile Communications Connectivity Solutions Provider Gains Publicly Traded Status.

Pursuant to the merger agreement executed between Apex Data and Cozumel, the outstanding shares of Cozumel common stock were reverse split on the basis of one share for each 12 shares outstanding and an additional 12,006,828 were issued. This resulted in approximately 12,830,000 shares outstanding after the merger.

Cozumel was organized in 1991 to seek out and evaluate potential business growth opportunities. Upon completion of the merger, the officers and directors of Cozumel tendered resignations. The Apex management team and board of directors was unaffected by the merger.

Throughout 1994, Apex has debuted several high end PCMCIA products for the local area network (LAN (Local Area Network) A communications network that serves users within a confined geographical area.
