ANDRX and Cybear Announce Date for Stockholder Meetings.

FORT LAUDERDALE, Fla.--(BUSINESS WIRE)--Aug. 2, 2000

ANDRX CORPORATION (Nasdaq:ADRX) and its majority-owned subsidiary Cybear, Inc. (Nasdaq:CYBA) today announced that stockholders meetings for Andrx and Cybear will be held on September 5, 2000 at 9:00 A.M. and 10:00 A.M., respectively, at the Fort Lauderdale Airport Hilton, 1870 Griffin Road, Dania, Florida 33004. At the Andrx Annual Meeting, stockholders will be asked to approve a reorganization whereby Andrx will be reincorporated in Delaware and two new classes of common stock will be created, Andrx Group Common Stock to track the performance of Andrx and Cybear Group Common Stock to track the performance of Cybear. In addition, Andrx stockholders will vote on the election of three directors to serve until 2003, adoption of Andrx' 2000 stock option plan and the ratification of the appointment of Andrx' auditors. At the Cybear Special Meeting, Cybear stockholders will be asked to approve the acquisition by Andrx of the outstanding common stock of Cybear not held by Andrx in exchange for shares of Cybear Group Common Stock.
