ANDRX To Acquire C Tex Pharmaceutical, Inc. From Shareholder Group.

FORT LAUDERDALE, Fla.--(BUSINESS WIRE)--Nov. 17, 2000

ANDRX CORPORATION - ANDRX GROUP (Nasdaq:ADRX ADRX Andrx Corporation (stock symbol) ) announced today that it has entered into a definitive agreement to acquire C TEX (tai epsion chi) A typesetting language developed by Stanford professor Donald Knuth that is noted for its ability to describe elaborate scientific formulas. Pronounced "tek" or the guttural "tekhhh" (the X is the Greek chi, not the English X), TeX is widely used for mathematical book  Pharmaceuticals Inc., a privately owned pharmaceutical sales and marketing company based in Jackson, Mississippi. The acquisition is for $30 million, subject to adjustment, comprised of Andrx Group stock and cash, and will be accounted for using the purchase method of accounting. The acquisition is subject to various closing conditions. Andrx expects that the closing will occur within 45 days and that the acquisition will have a neutral to modestly accretive affect on its future financial results.
