AMERICAN WHITE CROSS, INC. ANNOUNCES PROPOSED ACQUISITION OF PRIVATE LABEL ORAL CARE BUSINESS.

), today announced that it has signed a letter of intent to acquire the operations of Mi-Lor Corporation.

Mi-Lor manufactures and markets consumer store brand and PRO(r) label oral care products, primarily consisting of toothbrushes and dental floss dental floss

. Mi-Lor had sales of approximately $10.3 million for the fiscal year ended March 31, 1994.

Under the terms of the letter of intent, the proposed transaction would be structured as an asset acquisition. Specific terms will be disclosed upon execution of a definitive agreement.

Howard Koenig, Chairman and Chief Executive Officer stated, "We are very pleased to announce our proposed acquisition of this fine enterprise which clearly fits within our strategic goal of expanding our position in the consumer store brand marketplace. We believe that the oral care market represents a dynamic opportunity to leverage our manufacturing and retail distribution competencies."

The acquisition is subject to various conditions, including the execution of a definitive agreement, and is expected to close within 90 days.
