AMCARE ANNOUNCES MERGER

 CINCINNATI, June 7 /PRNewswire/ -- Ambulatory Medical Care, Inc. (NASDAQ: AMED) announced that it has executed a definitive Merger Agreement for its previously announced "going private" transaction. If the Agreement is approved by shareholders, non-management shareholders will receive $5.50 cash per share.
 Among other things, the Merger Agreement provides that the Special Committee of the board of directors may respond to unsolicited inquiries received from other prospective acquirers, provide information to them in response to any such inquiries and terminate the Agreement if a bona fide proposal is received and is determined to be more favorable to AmCare stockholders.
 The company also announced that it had filed preliminary proxy materials with the Securities and Exchange Commission for the Shareholders' meeting. Further announcement regarding the date of the special shareholders' meeting will be made at the time those materials are ready for transmittal to shareholders.
