 ) Alliance Forest Products Inc. ("Alliance") announced today that its Board of Directors has amended its Shareholder Rights Plan in response to suggestions received recently from shareholders and their representatives. With these modifications the plan will be consistent with others rights plans adopted recently.

Alliance's modifications would permit all partial bids under the rights plan provided a minimum of 50% of shares held by independent shareholders are deposited in favour of the bid.

Changes also include the requirement for shareholder approval before redemption of the rights under the plan and, in certain circumstances, the waiving of the plan. A number of other changes are also being made to respond to the concerns expressed by shareholders.

The original intent of the adoption of the plan has not changed. The plan has been designed, among other things, to give the Board sufficient time to evaluate any take-over bid and, if deemed advisable, to seek other offers in order to maximize shareholder value.

Alliance is an integrated forest products producer which, in addition to harvesting timer and engaging in forest management, produces and sells newsprint, uncoated groundwood papers and lumber. Its common shares are listed on the Montreal and Toronto Stock Exchanges.
