ALARIS Medical to Acquire Privately Held Instromedix; Acquisition Secures Telemedicine Technology, Cardiac Disease Diagnosis and Patient Monitoring Capabilities.

) and family-owned Instromedix Inc. Thursday jointly announced an agreement for ALARIS Medical to acquire Instromedix.

Under the terms of the agreement, Instromedix will join ALARIS Medical's wholly owned subsidiary Wholly Owned Subsidiary

A subsidiary whose parent company owns 100% of its common stock.

In other words, the parent company owns the company outright and there are no minority owners.

The outstanding shares of Instromedix will be acquired in a purchase transaction valued at approximately $55 million. The acquisition is expected to be accretive in approximately 24 to 36 months. Completion of the acquisition, which has been approved by the respective boards of directors of both companies, is subject to satisfactory completion of customary conditions.
