In connection with the review of the Registration Statement by the Staff of the Securities and Exchange Commission (SEC), as is customary, AIG received comments regarding both the Registration Statement and AIG's periodic reports incorporated by reference into the Registration Statement. In response to these comments, AIG today filed amendments to its Annual Report on Form 10-K Form 10-K A report required by the SEC from exchange-listed companies that provides for annual disclosure of certain financial information. Form 10-K See 10-K. for the year ended December 31, 2005 (Form 10-K/A) and its Current Report on Form 8-K Form 8-K The form required by the SEC when a publicly held company incurs any event that might affect its financial situation or the share value of its stock. These filings resolve the SEC Staff's comments by providing expanded disclosure and do not involve any restatement of AIG's financial statements. AIG also announced today that it has filed an Amendment to its Quarterly Report on Form 10-Q for the quarter ended June 30, 2005 (Second Quarter 2005 Form 10-Q/A). The Second Quarter 2005 Form 10-Q/A completes the previously announced restatements of AIG's financial statements, as more fully described in AIG's Annual Report on Form 10-K/A for the year ended December 31, 2005. AIG is now able to resume registered offerings on short form registration statements (i.e., Form S-3). American International Group, Inc.
