AGRI-NUTRITION GROUP ANNOUNCES FIRST QUARTER RESULTS.

MARYLAND HEIGHTS, Mo.--(BUSINESS WIRE)--March 5, 1997-- Agri-Nutrition Group Limited (Nasdaq/NM:AGNU) today announced financial results for the first quarter ended January 31, 1997.

For the first quarter ended January 31, 1997, net sales were $10.2 million, a 22% increase over net sales of $8.3 million for the quarter ended January 31, 1996. Higher margin specialty product sales increased by 28% to $7.4 million for the first quarter of 1997 versus $5.8 million in the same quarter of last year. Gross profit for the quarter was $1.9 million, a 24% increase over the prior year's $1.5 million. Income from operations for the quarter was $87,000 compared with a loss from operations of $228,000. Net loss for the first quarter of 1997 was $30,000 compared with a net loss of $176,000 for the first quarter ended January 31, 1996.

Commenting on the financial results, Bruce G. Baker, president and chief executive officer of Agri-Nutrition Group Limited, said, "We are pleased with the improvement in sales and gross profit as well as our ability to generate income from operations versus a loss last year. Also, our reduction in corporate costs is having a positive impact. With the focus on developing our core businesses, we continue to expect the combination of our initiatives to result in improved profitability in 1997."

The Company also announced the termination of a letter of intent relating to Agri-Nutrition's proposed acquisition of Anthony Products and a related second quarter charge to non-operating expense which will decrease net income in the second quarter by approximately $150,000. Mr. Baker said, "As a result of a thorough due diligence process, we mutually agreed to terminate discussions with Anthony Products as it became apparent that the timing was not appropriate to maximize the potential of the transaction. On a selective basis, we will now consider other acquisition and alignment opportunities which had been pending."
