AFP IMAGING ANNOUNCES ACQUISITION OF VISIPLEX INSTRUMENTS.

ELMSFORD, N.Y.--(BUSINESS WIRE)--July 17, 1995--AFP Imaging (NASDAQ:AFPC) is pleased to announce the completion of the acquisition of Visiplex Instruments' product lines, effective July 14, 1995.

Visiplex currently operates at $10 million in revenues and provides a new, related market sector for AFP. Visiplex is the world's leading manufacturer of multiformat cameras. These high resolution devices are used by radiologists and other medical professionals to record multiple diagnostic images onto photo sensitive "hard copy" film or paper.

The sources of the recorded images can be from CT Scans, MRI, Ultrasound or fluoroscopy. Each set of images produced in a Visiplex camera can then be developed in an AFP film processor. Visiplex customers range from the major medical imaging OEM's to a worldwide network of independent dealers. A significant percentage of Visiplex's products are exported.

Last year, Visiplex acquired the rights and a patent for two digital imaging technologies which can provide the gateway for AFP's and Visiplex's future growth. The company intends to participate in the growing trend towards transmitting medical images between computers within a hospital and from site to site. Visiplex's new Filmfax and Imlogix products provide communications software and ultra high resolution viewing monitors with the patented Real Time Zoom feature. These digital techniques and equipment are essential elements which will then be utilized by the assemblers of network systems. AFP expects to become a major supplier of key components to the growing PACS (picture archiving and communicating systems) market.

Visiplex has been sharing plant facilities with AFP in Elmsford, N.Y. since October 1994 as part of a cooperative cost reduction program for each company. Additional operational savings will now be achieved by consolidating manufacturing and administrative efforts. Visiplex is an ISO 9001 rated establishment. There are no anticipated costs for relocation or restructuring of the organizations. The acquisition was financed by AFP's senior secured lender by expanding the company's current line of credit. The all cash purchase price was $5.6 million.

AFP Imaging designs, manufactures and markets equipment and systems to hospitals radiologists, cardiologists, dentists and other medical specialists used to generate, record, process and view hard copy diagnostic images under the AFP and DENT-X trademarks. The company also provides a broad line of pre-press image making equipment to the international printing and graphic arts industry under the LOGETRONICS brand. AFP products are distributed worldwide by three different dealer networks.
