WHAT:   William J. McDonough, chairman and CEO of the Public Company
        Accounting Oversight Board (PCAOB), will deliver a speech
        entitled "The Challenge for Private Sector Leaders" at The
        Economic Club of Chicago's February dinner meeting.

WHO:    McDonough recently made headlines when urging corporations to
        scrutinize top executive compensation packages. He noted that
        corporations willingly and rightfully lowering such pay is
        better than any new laws limiting it, which would hurt the
        U.S. economy. Following accounting scandals at companies such
        as Enron Corporation and WorldCom, Inc., the PCAOB was created
        by the Sarbanes-Oxley Act of 2002 to oversee the audits of
        public companies in order to protect the interests of
        investors and further the public interest in the preparation
        of informative, fair and independent audit reports. McDonough
        was appointed to the PCAOB as chairman in June 2003. He had
        previously served as president and CEO of the Federal Reserve
        Bank of New York and had spent 22 years with First Chicago
        Corp. and its bank, First National Bank of Chicago.
