    WHY: Molina Healthcare, Inc., is among the most experienced
        managed healthcare companies serving patients who have
        traditionally faced barriers to quality healthcare-including
        individuals covered under Medicaid, the Healthy Families
        Program, the State Children's Health Insurance Program (SCHIP)
        and other government-sponsored health insurance programs.
        Molina has recently expanded into several states and is

        In July 2003, Molina Healthcare, Inc., announced the initial
        public offering of 6.6 million shares of the Company's Common
        Stock at $17.50 per share. The net proceeds from the offering

        corporate purposes, including repayment of debt. The Company
        has granted to the underwriters the option to sell an
        additional 990,000 shares at the initial public offering price
        to cover over-allotments.
