) today announced that its Board of Directors has declared a dividend of one class A warrant and one class B warrant for every four shares of the Company's common stock. The dividend will be paid on or about May 23, 1995, to shareholders of record at the close of business on March 13, 1995.

The class A warrant will have an exercise price of $11.00 and be convertible into one share of the Company's common stock. The class B warrant will have an exercise price of $18 and be convertible into one share of the Company's common stock. The class A and class B warrant, which are both immediately exercisable, will each expire expire /ex·pire/ (ek-spi´er)

 on March 13, 1997. Assuming that all warrants are exercised, the number of outstanding shares of the Company's common stock will increase from approximately 6 million to approximately 9 million.
