ADC Announces Agreement to Sell Internet Protocol Cable Platform to BigBand Networks.

ADC (Nasdaq:ADCT ADCT Adaptive Discrete Cosine Transform , www.adc.com) announced today that it has entered into an agreement to sell its Cuda(TM) cable modem termination system A cable modem termination system or CMTS is equipment typically found in a cable company's headend, or at cable company hubsite and is used to provide high speed data services, such as cable internet or Voice over IP, to cable subscribers.  (CMTS (Cable Modem Termination System) A computerized device that enables cable modems to send and receive packets over the Internet. It inserts IP packets from the Internet into MPEG frames and transmits them to the cable modems via an RF signal. ) product line and FastFlow(R) Broadband Provisioning Manager software to BigBand Networks. As part of the agreement, ADC will acquire a minority interest in Redwood City, Calif.-based BigBand Networks. Additional terms of the transaction were not disclosed. The agreement is expected to close in approximately 30 days, subject to customary closing conditions. After the transaction is complete, BigBand Networks will assume control of the Cuda and FastFlow product lines as well as employees, current relationships with Cuda customers and facility space in Westborough, Mass.
