 ADAGE REPORTS PROXY RELATED TO MERGER WITH RELM COMMUNICATIONS
 DECLARED EFFECTIVE BY SEC
 WEST CHESTER, Pa., Dec. 27 /PRNewswire/ -- Adage, Inc. (NASDAQ: ADGE), a diversified niche manufacturing company with operations in recycled paperboard, cold drawn steel and electronic access control systems, announced today that the Securities and Exchange Commission has declared the proxy statement effective related to Adage's proposed merger with RELM Communications, Inc., a producer of electronic communications equipment. The proxy became effective on Dec. 24, 1991 and Adage shareholders will vote on the merger at a special meeting to be held on Jan. 21, 1992. RELM's shareholders will consider the merger at the company's annual meeting on Jan. 23, 1992.
 If approved by the shareholders of the two companies, Adage will acquire RELM on Jan. 24, 1992 by issuing new shares of its common stock, valued at the average market price for the 20 days prior to the closing date, in exchange for RELM's common shares outstanding valued at book value. Adage's common stock closed on Dec. 23, 1991 at $6.00. RELM's audited book value per share at the year ended June 30, 1991 was $1.337. Adage already owns 835,141 RELM shares, or 7.6 percent of the 11,023,581 RELM shares now outstanding. Adage currently has 3,344,240 shares outstanding.
 Robert H. Cahill, president and CEO of Adage, said, "The acquisition of RELM will synergistically add strength to Adage's stake in the electronics arena and provide additional capacity to consolidate Adage's current electronic operations into RELM's state-of-the-art manufacturing facility. Adding RELM's approximate $25 million in annual revenues will put Adage over the $100 million revenue level with only a small addition to overhead expense."
 RELM Communications designs, manufactures and markets land mobile two-way radios and electric utility demand side management systems.
 In addition to recycled paperboard and cold drawn steel, Adage is a leading producer of overhead garage door electronic controls, gate controls, and perimeter access systems for industry and residences.
