 ACQUISITION OF COMBINED PLANT SERVICES, INC. COMPLETED
 METHUEN, Mass., Feb. 6 /PRNewswire/ -- NSC Corporation


(NASDAQ: NSCC) today announced that it has completed the acquisition of the Portage, Ind.-based Combined Plant Services, Inc. (CPS). The acquisition of this industrial cleaning and maintenance firm marks NSC's initial step in implementing its strategy to become one of the leading providers of environmental cleaning and maintenance services in the United States in the next 18-24 months.
 Anthony Mesiti, president and chief executive officer of NSC Corporation said, "We believe that NSC's proven track record managing a service business combined with our financial strength and high standards for health and safety can be successfully leveraged to create one of the leading companies in this industry." According to certain analysts the industrial cleaning and maintenance services industry is estimated to be a $1.5 billion a year industry and is expected to have an annual growth rate in the range of 10-15 percent. The growth of the industry is expected to be driven by the requirements of increased environmental regulation coupled with the increased outsourcing of industrial maintenance activities to firms which can provide such services more efficiently.
 Combined Plant Services, Inc. had 1991 revenues of approximately $8 million, the result of rapid growth of this business which began just three years ago. CPS expects its revenues to continue to grow in excess of 20 percent per year in the near term with operating margins to be at least comparable to the industry average. Consummation of the transaction is expected to contribute to NSC's earnings per share in 1992. CPS services the steel, utility and general manufacturing industries in Illinois, Indiana and Wisconsin.
