As provided in the Prospectus, and subject to the conditions and limitations described therein, the Fund will conduct an annual tender offer for its shares during the second quarter of each year if, during a 12-week period "prior to a date designated by the Directors no later than the end of the [first] calendar quarter," the Fund's shares have traded at an average discount from net asset value of 3% or more determined on the basis of the discount or premium as of the last trading day Last Trading Day The final day that a futures or options contract may trade or be closed out before delivery of the underlying asset must occur.
