As a consequence of the Major Transaction, Rainee has become a wholly owned subsidiary Wholly Owned Subsidiary A subsidiary whose parent company owns 100% of its common stock. Notes: In other words, the parent company owns the company outright and there are no minority owners. of the Corporation and Mr. Dennis Laviolette and 495935 Alberta Ltd., having acquired respectively 3,180,000 and 2,820,000 common shares in the capital of the Corporation, have each become control persons of the Corporation. As part of the Major Transaction, the Corporation also reversed various previously announced transactions (the "Easy Street Transactions") between the Corporation and 554485 Alberta Inc., a private Alberta corporation, controlled by Daniel Van Leeuwen, a past director of the Corporation. As part of this reversal, 554485 Alberta Inc. has surrendered for cancellation 750,000 common shares of the Corporation as a gift back to the Corporation. In conjunction with the Major Transaction, Mr. Dennis J. Laviolette and 495935 Alberta Ltd. which is controlled by Mr. Gerald Leeb, acquired an aggregate of 1,600,000 additional common shares of the Corporation at a deemed price of $0.08 per share from the previous management of the Corporation. Laviolette of Calgary, Alberta, is also a newly elected director of the Corporation and a co-founder of Rainee.
