AB Cernelle Holding is Pleased to Announce the Successful Conclusion of Litigation against Hemtech Holding SA The Parent Company of AB Cernelle.

HELSINGBORG, Sweden -- AB Cernelle Holding, a wholly owned subsidiary of Graminex L.L.C. is pleased to announce the favorable conclusion of litigation against Hemtech Holding SA, Neuchatel Switzerland, is the parent company of AB Cernelle, Engelholm, Sweden. AB Cernelle Holding's position that the Share Transfer Agreement entered into on August 17, 2001, which effectively transferred all of the shares of AB Cernelle from Hemtech Holding SA to AB Cernelle Holding as a valid and binding contract, was upheld by the Swedish Arbitration Tribunal.

AB Cernelle Holding was awarded approximately $2 million USD in damages due to Hemtech's failure to adhere to the terms of the contract. AB Cernelle Holding will aggressively pursue recovery of all damages including interest, legal fees, and any damages that may have been incurred by any subsequent fraudulent transactions entered into by Hemtech Holding SA, AB Cernelle, Cernitin America, John Tramontana, Deborah Ruyan, Philippe Rohrer, Ferdinand van Duijvenbode, Anita Stofmeel, all officers, directors and related parties in Sweden, Switzerland and the United States.

Furthermore, AB Cernelle Holdings, the wholly owned subsidiary of Graminex L.L.C. intends to continue to pursue all legal avenues to recover the more than $1 million USD of indebtedness in separate legal action against AB Cernelle, Engelholm, Sweden. Graminex L.L.C. and related parties are aggressively pursuing their third party claims against AB Cernelle, Hemtech Holding SA, and John Tramontana in regards to the indebtedness to Citizens Bank for $20 million USD. Graminex L.L.C. and AB Cernelle Holding believe that it will be successful in its claims in a separate action against AB Cernelle, Hemtech Holding SA, Cernitin America, John Tramontana and Deborah Ruyan for monetary damages, fraud, and conspiracy.
