These rating actions follow the disclosure of lower consolidated risk-based capital levels than previously disclosed, specifically impacting Health Net of California, the organization's flagship entity.

A.M. Best acknowledges that Health Net's operating results improved in the first quarter of 2005 and that the resolution of provider disputes is on track. Flexibility is also presently deemed good, given a borrowing capacity of over $700 million from an unused bank line of credit.

A.M. Best will continue to monitor the status of the organization through additional discussions with management, focusing its review on corrective actions A corrective action is a change implemented to address a weakness identified in a management system. Normally corrective actions are instigated in response to a customer complaint, abnormal levels if internal nonconformity, nonconformities identified during an internal audit or  to restore expected capital levels, future business strategy, financial flexibility and continued efforts to improve the operating performance and the business profile of the respective entities. The financial strength rating of B+ (Very Good) has been placed under review with negative implications for the following subsidiaries of Health Net, Inc.:

--Health Net of Connecticut, Inc.

--Health Net Insurance of Connecticut, Inc.

--Health Net of New Jersey, Inc.

--Health Net of New York New York, state, United States
