CALGARY, Alberta--(BUSINESS WIRE)--Dec. 6, 1994--Alberta Ltd. ("567895") announced Tuesday that on Dec. 1, 1994 it acquired 5,682,000 common shares in the capital of Fairmont Resources Inc. ("Fairmont") or approximately 37.5 percent of the issued and outstanding common shares of Fairmont by way of a private agreement.

567895 does not own any other common shares of Fairmont. The 5,682,000 common shares of Fairmont were acquired by 567895 for investment purposes.

Allan J. Kent, the president and chief executive officer and a director of Fairmont, is the president and the owner of 50 percent of the issued and outstanding shares of 567895. As a result of this acquisition, Kent now controls, directly and indirectly 3,364,000 common shares of Fairmont or approximately 22.2 percent of the issued and outstanding common shares of Fairmont.

Jeffrey J. Chad is a director of Fairmont and the owner of the remaining 50 percent of the issued and outstanding shares of 567895. As a result of this acquisition, Chad now controls, directly and indirectly, 2,841,000 common shares of Fairmont or approximately 18.8 percent of the issued and outstanding common shares of Fairmont.

Neither 567895, Allan J. Kent nor Jeffrey J. Chad, have any current intention of acquiring additional securities of Fairmont at this time. No persons or companies are acting jointly or in concert with 567895 other than Allan J. Kent and Jeffrey J. Chad.
