 company, announced today that it has filed an SB-2 registration statement with the Securities and Exchange Commission to register 3,040,909 shares of its common stock, of which 2,840,909 shares underlie a $1.25 million convertible debenture Convertible Debenture

 issued to Golden Gate Investors, Inc. of San Francisco San Francisco (săn frănsĭs`kō), city (1990 pop. 723,959), coextensive with San Francisco co., W Calif., on the tip of a peninsula between the Pacific Ocean and San Francisco Bay, which are connected by the strait known as the Golden , and 200,000 shares which have been issued to a selling shareholder as compensation for services rendered.
