) (NYSE:HEI.A) announced today the public offering of 3,200,000 shares of Class A Common Stock at a price of $20.00 per share. Of the total, 2,960,000 shares were offered by HEICO and 240,000 shares were offered by a selling shareholder. HEICO and the selling shareholder have each granted the Underwriters an option to purchase up to 240,000 additional shares to cover over-allotments, if any. The offering is being made by an underwriting group managed by Merrill Lynch & Co., Raymond James & Associates, Inc. and ING Baring Furman Selz LLC.

HEICO Corporation is engaged in certain niche segments of the aerospace, aviation and defense industries through its Hollywood, FL-based HEICO Aerospace Holdings Corp. subsidiary and its Miami, FL-based HEICO Aviation Products Corp. subsidiary. HEICO's customers include a majority of the world's airlines and airmotives as well as numerous defense contractors and military agencies worldwide, including the United States Air Force United States Air Force (USAF)
