20-20 Technologies Completes Acquisition of MBI Software Company of Germany.

20-20 Technologies Inc. (TSX:TWT), a world leader in 3D interior design and sales software, today announced it has successfully completed the previously announced acquisition of all assets, business and software solutions of MBI Software Company GmbH for 2.81 Millions Euros (US $3.3 Million) in cash.

MBI is focused on developing, marketing and implementing software solutions tailored to the needs of the furniture manufacturing industry. Its products include ERP solutions, supplemented by applications such as workflow management and business intelligence. Its software is especially adapted to products such as case goods, office furniture, kitchen cabinets, and other residential furniture including tables, chairs and upholstery. The company has a large number of customers in Europe and North America relying on its main product, MBI Factory Network, to run their company. MBI has offices in Osnabruck, Germany; Vienna, Austria and Toronto, Canada.

As a result of the acquisition, 20-20 will be adding 60 employees in Germany, 8 in Austria and 7 in Canada. Of these 75 employees, 10 are in sales and marketing, 53 in services, consulting and research and development and 12 in management and administration. These new employees are expected to eventually generate sales at a rate equivalent to 20-20's current revenue per employee, although the short term revenue per employee rate is anticipated to be approximately US$100,000 per employee. Management also expects the operations to be accretive to earnings in 2006. "Our challenge is to build on the solid base established by MBI and the reputation and resources of 20-20 to ensure that existing MBI customers remain satisfied with us and that together we can continue to grow in the promising ERP market," said Jean Mignault, CEO of 20-20.

A Unique Strategic Opportunity

MBI's existing North American sales team in Toronto will be integrated with the 20-20 North American Manufacturer's sales team. 20-20 will merge the company's existing manufacturing professional services team with MBI's team in Toronto, creating a significantly more powerful sales and services organization for all manufacturing products.

MBI's European team will be the basis of the new 20-20 operations team in Central and Eastern Europe, alongside 20-20's teams in Northern Europe and Southern Europe. Initially, for all of 2006, 20-20 will concentrate the new Central and Eastern European team, together with appropriate corporate resources, on ensuring that MBI's existing customers and prospects continue to buy software and services from the new company.

New Central and Eastern Europe region

The new company will operate in Germany and in Eastern and Central Europe as MBI 20-20 Technologies GmbH and will focus on serving its current customers, consisting of over 130 of the largest kitchen, office and residential furniture manufacturers in Germany. "With the know-how and the products of MBI, we increase our competence and credibility in the ERP field substantially. MBI 20-20 Technologies in Osnabruck will be the main competency center for our worldwide ERP activities," said Mr. Mignault.

The MBI 20-20 team will continue to develop the MBI Factory Network product to meet the needs of their manufacturer clients and also grow their strong market position in Germany, Benelux and Austria, while further opening the emerging Eastern Europe markets.
