:SODE) held its annual shareholders meeting on May 17, 2000.

At the meeting the shareholders adopted and approved four actions for the Company. They included:

1. Approved and appointed Max Golden, Mack Lawrence, and John Reynolds There are several men named John Reynolds:
  • John Reynolds (soldier), a soldier in the English Civil War
  • John Reynolds (musician), a writer, musician, and producer; the first husband of SinĂ©ad O'Connor
  • John F.
 as Directors.

2. Approved the name change of the Company from Sound Designs, Inc. to Plus Solutions, Inc.

3. Approved and adopted the stock plan.

4. Approved and authorized the Company to issue up to 10,000,000 shares of preferred stock Stock shares that have preferential rights to dividends or to amounts distributable on liquidation, or to both, ahead of common shareholders.

Preferred stock is given preference over common stock. Holders of preferred stock receive dividends at a fixed annual rate.

Chairman and President Max Golden made the following statements, "The actions the shareholders have taken are significant in the transition of moving from Sound Designs to Plus Solutions from an identity standpoint. In addition, the other actions give us additional flexibility for raising equity for the Company and towards attracting and retaining employees and managers."

Plus Solutions offers a web-based interactive Business-to-Business procurement solution under the brand name "Expressorder(TM)". Plus Solutions believes there is a current opportunity to dominate a niche market with its outsourced turnkey approach, which differs significantly from software "toolboxes" offered as corporate purchasing "solutions".

The Business-to-Business E-Commerce market is expected to reach $1.3 Trillion by 2003 per Forrester Research. The GartnerGroup, Inc. also anticipates that worldwide B2B E-Commerce (Business to Business Electronic-COMMERCE) Refers to one business selling to another business via the Web.
