$3.5 Million Financing Round Announced by Roaming Messenger.

SANTA BARBARA, Calif. -- Roaming Messenger(TM) (OTCBB:RMSG), the provider of breakthrough mobile messaging technology, today announced that the Company has entered into a $3.5 million financing agreement to fund the Company's accelerating growth.

Commenting on this milestone development in the Company's history, Jon Lei, Roaming Messenger's chief executive officer, commented "This is fantastic! We couldn't be more excited about this new investment. After receiving and reviewing multiple offers to invest in the Company, we determined that at this stage of our development, the funding from Wings Fund, Inc. provided the best option for our growing company. This funding structure allows us to receive a block of capital now and access additional capital at what may be better valuations in the coming year, should our capital requirements exceed our revenue growth. Effectively, we are able to balance our need for growth capital with the least amount of dilution."

The summary terms of the transaction called for $500,000 to be funded to the Company immediately upon closing of the transaction, which the company has already received. The remaining $3 million is to be allocated over the course of 12 months, at an amount of up to $250,000 per month if needed by the company.

Use of Proceeds

The Company's primary use of proceeds is to further expand Roaming Messenger's sales and marketing operations. "We are making excellent progress in our sales efforts since we transitioned out of research and development and into full sales mode," continued Mr. Lei. "After strengthening our sales and marketing team late last year, we are beginning to see the results of their endeavors. Sales prospects are at record levels, both in terms of number and size of potential deals in the pipeline," he said.

Providing an overview of the projects in progress at Roaming Messenger, Mr. Lei continued, "Our primary business development emphasis continues to be in the emergency response / homeland security sectors. Our sales channel partner strategy is bearing fruit, and we are in final negotiations with several national and international solution providers, resellers and system integrators, wherein Roaming Messenger will be integrated as the mobile messaging gateway in their best-of breed solutions.
